
Perception Matters hereby agrees to provide various Telecommunications Services
to Client pursuant to the Terms and Conditions set forth herein and in
the Service Agreement.
TERM
This agreement shall be for a term of 30 days and shall automatically
renew unless 30 days prior written notice has been given to the other
party; however, if either party is in material default of this agreement,
the other party may cancel this agreement pursuant to the terms below.
PAYMENT
Fees for service(s) ordered by the Customer shall begin on the date of the initial order and that date shall serve as the monthly anniversary date for all future billings including additional services. Fees are due in advance of the monthly service cycle and will be billed on the anniversary date of each month.
In addition to the Monthly Charge, Variable Charges may be assessed pursuant
to the Service Agreement.
All payments must be received by Perception Matters no later than 3 days after
Due Date. Service will be temporarily suspended if no payment is received
after the 3 days.
Client shall, at all times, maintain a valid Credit Card(s) on file with
Perception Matters. Client hereby authorizes Perception Matters to debit Client's
Credit Card(s) to satisfy any and all amounts due to Perception Matters.
In the event Perception Matters does not receive full payment within 10 days
of Due Date, Client will be considered to be in Material Default of this
Agreement and Receptionist shall have the right to immediately terminate
the service without waiving the right to collect any and all amounts then
due plus all Late Fees that may accrue thereafter.
Once the service is terminated, the client’s phone number will be made
available to other clients to use. Line Re-activation fee of $50.00 applies
should the Client requires the number to be re-activated again if it is
still available.
LIABILITY
Perception Matters makes no representations or warranties, express or implied,
of any kind to Client or third party regarding Perception Matters's services.
Perception Matters shall use reasonable efforts to provide the agreed upon services
however, in no event, shall Perception Matters be liable to Client, or any third
party, for any claims for loss or damages as a result of any action or
inaction by Perception Matters.
MISCELLANEOUS
Any telephone number assigned to Client by Perception Matters shall remain the
property of Perception Matters.
These Terms and Conditions and the Perception Matters Service Agreement set
forth the entire Agreement between the parties. This Agreement shall be
binding upon all successors and assigns of the parties hereto.
JURISDICTION
The laws and jurisdiction of Victoria, Australia shall govern any and
all matters of dispute between Perception Matters and Client.
OPERATING HOURS
Perception Matters will provide telephone answering service during business
hours of 9:00 am to 5:00pm Monday to Friday and Perception Matters will adhere
to any public holidays according to the State of Victoria, Australia.
CALL ANSWERING SERVICES
Perception Matters do not limit the number of calls for our receptionist services (unless otherwise stated). Services goes on a ":fair use" basis and client should not exceed 70% from the average calls received by other clients.
Should such scenario occur, we will review the client's usage and work with cleint to customise a plan for their nessary usage.
Mailing Address Service
Perception Matters reserves the right to change the business address being used by client as is required.
Perception Matters will not be liable to Client, or any third party, for any claims for loss or damages as a result of business address change
PRIVACY
For the purposes of this clause "Personal Information" such
as Client name, contact details, account details, credit card number and
expiry date.
Perception Matters agrees that in respect of all Personal Information held
it will:
- comply with all applicable legislation in relation to privacy and
the protection of Client Personal Information;
- use the Personal Information for performance of its obligations under
this Agreement; and
- not disclose Personal Information to a third party, including for
the purpose of marketing products without the prior written consent
from the Client.
CONFIDENTIALITY
We will not at any time or in any manner, either directly or indirectly,
use for own benefit of Perception Matters, or divulge, disclose, or communicate
in any manner any information that is proprietary to the Client. We will
protect such information and treat it as strictly confidential. This provision
shall continue to be effective after the termination of any agreement.
INDEMNITY
The Client indemnifies and agrees to hold Perception Matters harmless from and
against any claims by the Client, and/or any employee, agent or invitee
of the Client for any loss, damage, expense or claim, loss of information,
damage or any errors including whether caused by any act or omission of
Perception Matters. The Client guarantees that it will not use the virtual office
for any illegal purposes and shall abide by the building rules and regulations
when occupying Perception Matters’s premises.
FRAUDULENCE USE OF SERVICE
It is agreed that Perception Matters is not responsible for any international
civil and criminal law violations on client’s part.
Perception Matters accepts no legal responsibility or liability for the handling
of call on the Client’s behalf (whether unregistered, registered, certified
or insured), or for any action, event or expense associated with or arising
from the handling of the calls.
REFUND POLICY
No question asked money back guarantee within 5 days of sign up and strictly
no refund thereafter.
There is strictly no refund for any setup fee paid during signup.
Should there be a refund, all free gifts will need
to be returned or paid for as per market rate.
Modifications to Services
Rceptionist.net.au may at any time modify or discontinue, temporarily or permanently, Perception Matters services (or any part of them) with or without notice and liability to anyone.
Should price increases become necessary, Perception Matters will give the customer 14 days notice in writing / email.
MATTERS BEYOND OUR CONTROL
We shall not be held liable for any breach of these Terms and Conditions
caused by circumstances out of our control, including acts of God, fire,
lightning, flood or extremely severe weather, explosion, war, disorder,
industrial disputes (whether or not involving our employees) network failures,
or acts of local or central Government or other competent authorities.
